Constitution

The group is called Walpole Friends
 
Our purposes are:
1. To protect, conserve and enhance Walpole Park , Pitzhanger Manor and the Lammas Parks as places of freedom, recreation and enjoyment for the long term benefit of all sections of the local community
2. To gather input from local people and representative groups so that the park may best serve the local community
3. Membership is open to all. In the initial stages, the group is set up as an autonomous sub-group of the Walpole Residents’ Association (WRA) with a view to the WRA providing the support and infrastructure for the group in the short term with the aim of Walpole Friends becoming an independent organisation, providing the level of interest and activities warrant it.
 
The annual subscription – for the membership year April to March – shall be set by the Walpole Friends Committee and ratified at the AGM
 
The day to day operation of the Walpole Friends will be managed by the Committee, which will comprise three officers: Chair ,Secretary ,Treasurer - together with a maximum of five other members according to need. The Committee will be elected at the AGM. The Committee shall have the power to co-opt members according to need.

The Committee may only take decisions when at least three members of the Committee, including two officers are present.
An AGM shall be held each year not later than four months after the end of the financial year which shall be 31st March each year. The Committee shall give not less than 21 days notice of the date fixed for an AGM and nominations for membership of the Committee must be received at least 7 days before an AGM. A quorum at the AGM shall be 5 members or 10% of the total number or members (in either case excluding Corporate Members for the purpose of this calculation) whichever shall be the lower.
An independent financial reviewer shall be appointed by the AGM or failing that by the Committee. Reviewed accounts shall be presented at the AGM for approval by the members.
This constitution may be amended by a motion passed at an AGM by at least two thirds of the members present at the meeting.
Should the Walpole Friends cease to exist, any residual funds shall be paid to the WRA provided that the WRA undertakes to expend the funds on one or more projects at Walpole Park within six months of the date of payment.
